1. Acceptance of Terms
By accessing or using PolicyMeld's services, including our website, applications, and any other software or services offered by PolicyMeld (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you and PolicyMeld. ("PolicyMeld," "we," "us," or "our").
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" will refer to both you and that organization.
2. Description of Services
PolicyMeld provides a compliance policy management platform that helps organizations create, manage, and maintain compliance policies across various frameworks including HIPAA, SOC 2, ISO 27001, and others. The features and functionality available to you will depend on your subscription tier.
3. Account Registration and Security
To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
4. Subscription Plans and Payment
PolicyMeld offers various subscription plans, including a free tier with limited functionality and paid tiers with additional features. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page.
All fees are exclusive of taxes, which we will charge as applicable. We may change our fees at any time with 30-days' notice. If you don't agree with the fee changes, you can cancel your subscription before they take effect.
Unless otherwise specified, all fees are charged in advance and are non-refundable. Subscription renewals are automatic unless you cancel your subscription before the renewal date.
5. User Content
Our Services allow you to create, upload, store, and share content, including policy documents, controls, frameworks, and other materials (collectively, "User Content"). You retain all rights in your User Content, and you are responsible for it.
By submitting User Content to PolicyMeld, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, store, transmit, and display your User Content to the extent necessary to provide and maintain the Services.
You represent and warrant that: (i) you own or have the right to use and share all User Content; (ii) your User Content does not violate the rights of any third party; and (iii) your User Content complies with these Terms and all applicable laws.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe the rights of any third party
- Transmit any material that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Attempt to gain unauthorized access to any portion of the Services
- Collect or store personal data about other users without their express consent
- Use the Services in any manner that could damage, disable, overburden, or impair the Services
7. Intellectual Property Rights
The Services and all materials therein, including software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and music (collectively, "PolicyMeld Content"), and all intellectual property rights related thereto, are the exclusive property of PolicyMeld and its licensors.
You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any PolicyMeld Content. Using the PolicyMeld Content for any purpose not expressly permitted by these Terms is strictly prohibited.
8. Third-Party Links and Services
The Services may contain links to third-party websites or services that are not owned or controlled by PolicyMeld. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that PolicyMeld shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
9. Termination
We may terminate or suspend your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your account, you may simply discontinue using the Services, or you may contact us to delete your account.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. POLICYMELD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
IN NO EVENT WILL POLICYMELD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
12. Indemnification
You agree to defend, indemnify, and hold harmless PolicyMeld, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
13. Governing Law and Jurisdiction
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and PolicyMeld regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
